Main Responsibility

*Review and/or draft NDAs, engagement letters and other contracts in relation to daily operation of the Company;
*Draft board resolutions and/or minutes for subsidiaries/affiliates of the Company in relation to transactions;
*Participate in closing of the transactions;
*Organize and maintain transaction documents and conduct central filing;
*Coordinate with external counsel and business team in various transactions;
*Review draft announcements/circulars, etc. to be filed with HKEx by the Company and coordinate with external counsel in relation to preparation of such filings.
*Conduct legal research; and
*Work on ad-hoc assignments as required by the legal counsel from time to time.

Main Requirements

*1-2 years of past-experience ideally with a law firm or a financial institution (Will also consider fresh graduates if you are a quick learner);
*Holds a law degree in Hong Kong and/or PRC;
*Has some knowledge on the Listing Rules of Hong Kong;
*Attention to details, eager to learn, self-motivated and a team player.
