These terms and conditions of sale(collective, this “Agreement”) shall govern any sale by Harris Corporation，Microwave Communications Division（“Harris”）to Harris’ customer(“customer”)

Offer and Acceptance
This Agreement has been presented to Customer with any quotation that Customer had received from Harris as an integral part of such quotation. Notwithstanding that fact, Harris’ quotation does not constitute an offer. Instead，Harris’ quotation is merely an invitation for an offer and a notice to Customer of the terms and conditions of sale that will be applicable to Customer’s purchases from Harris. Customer’s order (“Purchases Order”), regardless of any contrary wording, will constitute an offer to purchase only on the terms and conditions stated in the quotation from Harris and as set forth in this Agreement. If Customer’s Purchase Order should contain any terms and condition in addition to or in conflict with those contained in this Agreement, Customer, by submission of the Purchase Order, specifically agrees that such additional or conflicting terms are rejected by Harris and will be void. This failure of Harris to object to any such term and condition in Customer’s Purchase Order will not constitute a waiver of the provisions of this Agreement.
这些销售条款（统称“协议”）对哈里斯公司微波通信部（统称“哈里斯”）与哈里斯的销售客户（统称“客户”）之间的任何交易都具有约束力。

要约和承诺
